VENDOR SPACE REQUIREMENTS: 1) Vendor is required to furnish its own table, table coverings, and other necessary equipment. Chairs will be available if needed. Vendors are responsible for the set-up and tear down of same. 2) Vendor spaces will only be assigned upon receipt of full payment and agreement. 3) Vendors may only sell and distribute products and advertising materials approved by organizers from their leased vendor space. 4) Vendors merchandise must fit within their designated/assigned space. No booth sharing. 5) Vendors are required to remain on site for the duration of the event. No early teardown permitted. 6) Vendor space must be kept clean throughout the event and be left spotless afterwards. Vendor must removed and be responsible for their own trash. There will be trash cans available for food/drink/small trash. Please take empty boxes with you. 7) Electric outlets are very limited. Please plan accordingly.
VENDOR LOAD-IN AND TEAR DOWN REQUIREMENTS: 1) LOAD-IN/SET-UP: Please note market hours for event. Market day load-in and set-up times will be announced a week before the market date. All set-up should be completed 1/2 hours before opening time. Set-up or tear down during open event hours is not permitted. There will be 2 entrances available. 2) PARKING: A map will be provided on where to load-in and park in set-up time email. All vehicles must be parked as far as possible in the parking lot from entrances. Do not park in the Missing Falls Brewing's front lot. These are for our patrons! 3) TEAR DOWN: Vendors must wait until all attendees have vacated the market areas before tear down at the conclusion of the market. Vendor space must be left clean afterwards.
VENDOR PERMITS, LICENSES, INSURANCE AND OTHER REQUIREMENTS: 1) LICENSE, PERMITS, TAXES: All vendors are required at their own expense to comply with Federal, State, and Local law pertaining to permits, licenses, taxation, and any other relevant regulations. Vendor agrees to obtain, at its expense, any licenses or permits which are required for the operation of its trade or business. Vendor agrees to collect and pay all required taxes and sales taxes. Killer Video is not responsible for failure to obtain the required permits or license for Vendor. 2) INSURANCES: All vendors are responsible for obtaining general liability insurance. The Vendor is responsible for insuring its exhibit, personnel, display, and materials from any damage or loss through theft, accident, or other cause. Vendor further accepts all risks associated with the use of vendor space and weather. 3) COTTAGE FOOD: Killer Video accepts certain items which are grown and/or made by the vendor such as baked goods, preserves, cheese, honey, etc. All processed foods must be appropriately labeled with product name, ingredients, net weight, price, vendor's name and address.
PAYMENTS, REFUNDS, AND CANCELLATION OF BOOTH SPOT: 1) Payment must be received by invoice due date to hold your space. If not paid by agreed upon terms, vendor space will be opened up to waiting vendors. Refunds shall not be made for any reason. Killer Video reserves the right to dismiss any vendor from any event.
INDEMNIFICATION, LIABILITY AND RELEASES: 1) INDEMNIFICATION: The Vendor agrees to protect, indemnify, and hold harmless Killer Video from any and all losses, costs, or damages sustained by reason of any act or occurrence causing injury to any person or property, due directly or indirectly to and arising out of the use of the premises by Vendor or otherwise occurring at or in connection with any product sold or displayed at the market or weather. 2) MEDIA RELEASE AND CONSENT: I, the undersigned, do hereby release all rights or claims in connection with the photo(s)/videotape in which I appear, for use by Killer Video and all sponsors. I understand that the photo(s)/videotape, if used, will be for the promotional purpose of assisting future Killer Video events. I waive any right to inspect or approve the finished photos and/or advertising copy. All photographs, negatives and videotapes shall constitute the sole property of Killer Video. Please contact Killer Video to request copies of any photo(s)/videotape to use for your business. 3) WAIVER OF LIABILITY THE VENDOR HEREBY RELEASES, WAIVES, DISCHARGES AND COVENANTS NOT TO SUE Killer Video, its directors, officers, employees, and agents (hereinafter referred to as “releasees”) from all liability to the vendor, its employees, agents, personal representatives, assigns, heirs, and next of kin for any loss or damage, and any claim or demands therefor on account of injury to person or property or resulting in any other injury of the Vendor, its employees, agents, or representatives, whether caused by the negligence of the releasees or otherwise while the Vendor or its employees, clients, agents, or representatives are in, upon, or about the premises performing duties related to this agreement. THE VENDOR HEREBY ASSUMES FULL RESPONSIBILITY FOR AND RISK OF BODILY INJURY, PROPERTY DAMAGE, OR ANY OTHER INJURY that may be incurred arising from the vendor’s operations at any market premises regardless of whether such harm is due to the sole or partial fault of the releasees. SEVERABILITY In the event any provision of this Agreement is invalidated or unenforceable for any reason whatsoever, this Agreement shall remain binding and in full force and effect to the maximum extent permitted under applicable law. GOVERNING LAW This agreement shall be governed by, construed in accordance with, and enforced under the law of the State of Ohio. Any dispute with respect to this Agreement shall be resolved within the courts of Stark County, Ohio. MODIFICATION OF AGREEMENT This Agreement may be modified, amended or rescinded only by a written agreement executed by both parties to this Agreement.
